Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and softwarerror ("Fabric," "we," "us," or "our") governing your access to and use of the Fabric platform. By creating an account or using Fabric, you agree to these Terms. If you're using Fabric on behalf of an organization, you're agreeing on that organization's behalf and confirming you have authority to do so.

Fabric lets you create AI agents, connect them to tools and external systems, and run them on a schedule you define. Each workspace ("tenant") is an isolated boundary for your users, agents, tools, secrets, and run history.

• You're responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must provide accurate account and workspace information and keep it up to date.
• You're responsible for the users you invite into your workspace and their use of Fabric.

You retain ownership of the goals, tool configurations, and any other content you input into Fabric ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to provide the service to you — including sending it to the AI providers and tools you've configured, as described in our Privacy Policy. You're responsible for having the rights necessary to submit Your Content and to configure the tools and integrations you connect.

Fabric requires you to supply your own API credentials for the AI providers and third-party tools you connect to your agents. Those providers are independent of Fabric and are governed by their own terms, pricing, and privacy practices. We are not responsible for the availability, accuracy, cost, or output of any third-party AI provider or tool, including content generated by a model or actions taken by a tool you've configured. You are responsible for your own usage costs incurred with those providers.

You agree not to use Fabric to:

• Violate any applicable law or the rights of any third party.
• Configure an agent or tool to access systems or data you're not authorized to access.
• Attempt to probe, scan, or breach the security of Fabric or any connected system.
• Transmit malware or engage in any activity that disrupts Fabric or its infrastructure.
• Use Fabric to generate or distribute unlawful, abusive, or infringing content.

Fees, if any, for your use of Fabric are as described at sign-up, in your order form, or in your account settings. Charges from third-party AI providers or tools you connect are billed to you directly by those providers, not by Fabric.

You may stop using Fabric and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, or if needed to protect the security or integrity of the service. On termination, your right to use Fabric ends; provisions of these Terms that by their nature should survive (including Sections 5, 9, 10, and 11) will survive.

Fabric is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Fabric will be uninterrupted, error-free, or that any agent, model, or tool output will be accurate or reliable.

To the maximum extent permitted by law, Fabric and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or related to your use of Fabric, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us for the service in the twelve months preceding the claim.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms will be brought exclusively in the state or federal courts located in California, and you consent to that jurisdiction and venue.

We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Fabric dashboard before the change takes effect. Continued use of Fabric after a change takes effect constitutes acceptance of the updated Terms.
